Thank you for your interest in and use of Logitech or Logitech products, software, and applications. Logitech and its affiliates (collectively, “Logitech”) provides or may provide: (1) software that may be downloaded to your computer to access services (“Desktop App”); (2) a website for product monitoring/management (“Site”); and (3) Logitech user accounts that may be accessed through the Desktop App or the Site; (collectively, “Services”) all for use with Logitech products (“Products”). These Terms of Service (“Terms”) are a legal agreement between you and Logitech and govern your use of the Services. Use of and access to the Services are subject to your compliance with these Terms, so please read them carefully before using the Services. Logitech reserves the right to limit or terminate your access to the Services or terminate or suspend your registration or account for failure to comply with these Terms for any reason at any time. If you are an employee or agent of a Logitech customer (“Customer”), by accessing the Services, you represent and warrant to Logitech that you are authorized by the Customer to access and use the Services on behalf of the Customer.

BY CLICKING “OK” AND ACCESSING AND USING THESE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS, DO NOT USE OR ACCESS THE SERVICES IN ANY MANNER. IF YOU HAVE DOWNLOADED THE SOFTWARE, YOU MUST STOP USING THE SOFTWARE AND REMOVE ANY COPIES IN YOUR POSSESSION OR CONTROL (FROM YOUR DEVICE(S)).
 

Modifications to these Terms

Logitech may change, modify, update, add, or remove portions of these Terms at any time. Please check these Terms periodically for changes. Your continued use of the Services, following the posting of any changes, will signify your acceptance of those changes.
 

Changes to the Services and/or Products

Logitech may make changes to the Services, with or without notice to you. Such changes may include, modifications, replacements, deletions, removal of features, or a change in pricing. In the event Logitech makes such changes, these Terms shall apply to the new Services and to any changes to existing Services. Logitech may also suspend, stop, or limit the sale or distribution of Products or Services to any person or in any geographical region.
 

User information; Account

To use the Services, you must register for a user account (“Account”) and provide certain information about yourself as required by the Service registration form, such as username, email and/or and password (collectively “Credentials”). You agree (1) to submit accurate and truthful information; (2) to maintain the accuracy of such information; (3) to have read and understood, and agree, to be bound by, these Terms;

(4) that you are at least 18 years old; (5) that your use of the Services does not violate any U.S. law or regulation (e.g., you are not located in an embargoed country or not listed on any U.S. Government list as prohibited or restricted party under applicable export control laws or regulations). If you do not agree to, or cannot comply with, any of these Terms, do not use or access the Services.

You are entirely responsible for maintaining the confidentiality of your Credentials, and for any and all activity that occurs under your Account. You agree to use “strong” passwords (combination of upper and lower case letters, numbers and symbols) and maintain your Credentials securely to prevent unauthorized access of your Account. Additionally, you are responsible for the administration of your account including the issuance and maintenance of additional accounts and access rights you provide to other users. You agree to notify Logitech immediately of any unauthorized use of your Account, or any other breach of security. You may be held liable for losses incurred by Logitech or any other user of the Services due to the use of your Account by another person. Logitech is not liable for any loss or damage arising from your failure to comply with the above obligations.
 

Access to Services

Subject to these Terms, Logitech grants you a non-transferable, non-exclusive right to access and use the Services to install and use the Desktop App on your computer in connection with and solely for the purpose of accessing and monitoring the Product for your use.

Services are to be accessed and used for non-critical information and monitoring of Products. We strive for the Services to be reliable, but they may not be reliable 100% of the time. Services are subject to interruptions and failures for a variety of reasons beyond Logitech’s control, including Wi-Fi reception, service providers, carriers, and others. You acknowledge these limitations and agree that Logitech is not responsible for any damages allegedly caused by the failure or delay of Services due to reasons outside of Logitech’s control.

Services and Products should be used only in the country in which they were offered for sale. If you choose to access Services or use Products outside of the country in which they were offered for sale, you do so and your own risk and you are solely responsible for complying with applicable local laws. You are bound by these Terms wherever you access or use the Services.
 

Logitech Software updates

Logitech may from time to time in its sole discretion develop and provide upgrades, updates, patches, bug fixes, and other modifications to improve the performance of the Services and/or the Product software (“Updates”). Updates may also modify or delete in their entirety certain features and functionality. You agree that Logitech has no obligation to provide any Updates or to continue to provide or enable any particular feature or functionality. If provided, Updates may be automatically installed without providing any additional notice or receiving any additional consent. You consent to this automatic update. If you do not want such Updates, you may terminate your Account and stop using the Services and the Product. If you do not terminate a previously created Account, you will receive Updates automatically. You acknowledge that you may be required to install Updates to use the Services and the Product and you agree to promptly install any Updates provided. Your continued use of the Services and the Product is your agreement to these Terms with respect to the Services and to the End User License Agreement with respect to updated Product software.
 

Open Source

Third party code may be included in the Services and Products. Such third party code is subject to the GNU Lesser General Public License (“LGPL”) and/or other open source licenses (collectively, “Open Source Software”). The Open Source Software is licensed under the terms of the license that accompanies such Open Source Software. Nothing in these Terms limits your rights under, or grants you rights that supersede, the terms and conditions of any applicable end user license for such Open Source Software.
 

Privacy and Security

Logitech respects your desire for privacy and takes care to protect the personal information you provide us. The Privacy Statement made available through the Service explains the way we collect, use, store and process while you use and access the Services. By using the Service, you confirm you have read and agree to the Privacy Statement.

Logitech has security measures in place to protect the loss, misuse, and alteration of the information under Logitech's control. Although Logitech has taken the steps described in the Privacy Statement to ensure that your personal information is delivered and disclosed only in accordance with the Privacy Statement, Logitech does not guarantee that the personal information you provide will not be intercepted by others and decrypted.
 

Restrictions

Service Restrictions. As a condition for using the Services, you agree not to use the Services for any purpose that is (1) prohibited under these Terms; (2) unlawful or tortious under applicable federal, state or local laws and regulations, or (3) inconsistent with applicable community standards. You may not use the Services in any manner that could damage, disable, overburden, or impair any Logitech server or network, or interfere with any other party's use of Services. You may not attempt to gain unauthorized access to any Logitech server, network, or services through hacking, password capture or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services. You may not reproduce, resell or distribute the Services for any purpose. You may not use the Services to generate income from the Services or use the Services for the development, production or marketing of a service or product substantially similar to the Services.

You agree to fully comply with all federal, state, and local laws in connection with the use of the Services and Products, including, but not limited to local surveillance laws. Logitech has no obligation to monitor your use of any Services. However, Logitech reserves the right to review materials routed through any Logitech server or network and to remove any materials in its sole discretion.
 

Fees

Use of the Services involves transmission of data through your network service provider. You are responsible for all carrier, data or other related fees or charges you incur from your network service provider in connection with or related to your use of the Service. Logitech assumes no liability or responsibility for the payment of any charges you may incur.
 

System Requirements

The Services will not be accessible without: (1) an Account; (2) a supported computer; (3) Internet access; and (4) other system elements that may be specified by Logitech. It is your responsibility to ensure that you have all required system elements and that they are compatible and properly configured. You acknowledge that the Services may not work as described when the requirements and compatibility have not been met.
 

Logitech Content

All text, graphics, user or visual interfaces, trademarks, logos, music, sounds, artwork, photographs, video and computer code (“Logitech Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel,” and the arrangement of such Logitech Content, displayed or performed on the Services is owned, controlled, or licensed by Logitech. All such Logitech Content is protected by trade dress, copyright, patent and trademark laws, and various other intellectual property rights and unfair competition laws. Unless another agreement applies to particular Logitech Content, Logitech hereby grants you limited permission to use the Logitech Content subject to these Terms, as long as the use of such Logitech Content is solely for your personal, non-commercial informational use.

Unless expressly permitted in an applicable agreement or on the Logitech Content itself, none of the Logitech Content may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means, including but not limited to electronic, mechanical, photocopying, recording, or other means, without the prior express written permission of Logitech and/or the appropriate owner. Also, you may not “mirror” any Logitech Content contained on this Website or any other server without Logitech’s express prior written consent.
 

Feedback

We encourage you to provide us with feedback. You agree that we may use in any manner and without limitation all comments, advice, recommendations, suggestions, complaints, and other feedback you provide to us regarding the Products and/or Services, and that Logitech will own all intellectual property that we create based upon or incorporating your feedback.
 

Links to third party product and services

In order to provide you comprehensive and useful resources, the Services may rely on or operate with third-party products and services, which are not under the control of Logitech. Logitech is not responsible for the products or services provided by any third party. You understand and agree that the use and availability of the Services is dependent on the third party product or service and Logitech is not responsible for damages and/or losses caused by the operation or non-operation of these third party products and/or services.
 

Intellectual Property ownership

You acknowledge that all intellectual property rights, including without limitation copyrights, patents, trademarks, and trade secrets, in the Product and Services are owned by Logitech or its affiliates or our suppliers or licensors. Your possession, access, and use of the Product and Services do not transfer to you or any third party any rights, title, or interest in or to such intellectual property rights. Logitech and its affiliates and licensors and suppliers reserve all rights not granted in these Terms. The Services are licensed to you, not sold.
 

Procedure for making claims of copyright infringement

At Logitech, we respect the intellectual property of others. If you believe that your copyrighted work has been copied and is accessible on the Services in a way that constitutes copyright infringement, please contact us to report possible copyright infringement at http://support.logitech.com/response-center. When contacting us, please provide Logitech’s copyright agent with the following information:

• A full description of the copyrighted work or other intellectual property that you claim has been infringed

Indemnification

You shall indemnify, defend, and hold harmless Logitech, its affiliates, and their respective officers, employees, and agents from any and all claims, demands, damages, costs, and liabilities, including reasonable attorneys’ fees, made by any third party due to or arising out of your acts or omissions arising out of your use of the Services. Logitech reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate as fully as reasonably required in the defense of any claim.
 

Termination

You agree that Logitech may, in its sole discretion and without prior notice, terminate your access to the Services and/or block your future access to the Services if we determine that you have violated these Terms or other agreements or guidelines that may be associated with your use of the Services, or for other reasons that may include but are not limited to (1) requests by law enforcement or other government agencies, (2) a request by you to remove your account, (3) discontinuance or material modification of the Services, or (4) unexpected technical issues or problems.

In the event this agreement is terminated, the restrictions regarding Content or materials appearing with the Services, and the representations and warranties, indemnities, and limitations of liabilities set forth in these Terms will survive termination. In the event you are unsatisfied with the Services, your sole remedy is to terminate this agreement.

You agree that Logitech will not be liable to you or to any third party for termination of your access to the Service.
 

Arbitration

Any dispute arising out between you and Logitech shall be resolved through final and binding arbitration conducted under the Consumer Arbitration Rules ("Rules ") of the American Arbitration Association except that any dispute that would otherwise fall under the jurisdiction of a small claims court may, at the option of one of the parties, be brought in a small claims court of competent jurisdiction prior to appointment of the arbitrator. The arbitration shall be conducted by a single arbitrator selected by mutual agreement of the parties or under the selection process set forth in the Rules. The site of the Arbitration shall be in Alameda County, California unless the arbitrator determines that another site is necessary to preserve principles of fairness and due process. The costs of the arbitration shall be apportioned between the parties as set forth in the Rules. The arbitrator's award shall be final and binding on the parties without right of appeal.

YOU MUST CONTACT LOGITECH WITHIN ONE (1) YEAR OF THE DATE OF THE OCCURRENCE OF THE EVENT OR FACTS THAT GIVE RISE TO A CLAIM, OR YOU WAIVE THE RIGHT TO PURSUE ANY CLAIM BASED UPON SUCH EVENT OR FACTS.
 

Miscellaneous

Logitech may assign these Terms at any time to any subsidiary, or any affiliated company, or as part of the sale to, merger with, or other transfer of Logitech to another entity. You may not assign this agreement. These Terms constitute the entire agreement between you and Logitech regarding this subject matter, and they govern your use of the Services. The failure of Logitech to exercise or enforce any right or provision of these Terms does not constitute a waiver of such right or provision. If a court of competent jurisdiction finds any provision of these Terms to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. Regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Website or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
